Welcome to Koopo Online (“Koopo,” “we,” “our,” or “us”), a social media and multi-seller marketplace platform accessible via KoopoOnline.com (the “Platform”). The Platform is operated by A&A Management LLC, a company organized under the laws of the State of Michigan, United States.

The intellectual property, trademarks, and brand associated with Koopo Online are owned by A&A Markets LLC and licensed exclusively to A&A Management LLC. For purposes of these Terms, all references to “Koopo Online” or “Koopo” refer to the Platform operated by A&A Management LLC.

1. Eligibility

By using Koopo Online, you represent and warrant that you:

      • Are at least 18 years old (or the age of majority in your jurisdiction);

      • Have the legal capacity to enter into these Terms;

      • Will use the Platform in compliance with all applicable local, state, federal, and international laws.

    2. Marketplace Services

    Koopo Online provides a social marketplace where independent sellers (“Sellers”) may list, promote, and sell products or services to buyers (“Buyers”).

        • Direct Transactions: Purchases made on Koopo Online are processed via Stripe Express. Payments go directly to Sellers, less applicable fees.

        • Fees: Koopo charges Sellers (a) subscription or access fees for advanced features, and (b) transaction fees/commissions on each sale.

        • Commission: Koopo Online receives a platform commission for each completed transaction.

      3. Relationship Between Parties

          • Koopo Online is not a party to transactions between Buyers and Sellers.

          • We do not own, inspect, or guarantee any products or services listed by Sellers.

          • Any dispute, claim, or issue arising out of a transaction is solely between the Buyer and the Seller. Koopo does not mediate, resolve, or participate directly in disputes.

          • Sellers are independent entities and are solely responsible for compliance with all laws, regulations, taxes, and business practices.

        4. Payments and Fees

            • By selling on Koopo, you agree to Stripe’s terms and authorize Koopo to collect and distribute commissions and fees.

            • Fees are subject to change upon notice. Continued use of the Platform after fee changes constitutes acceptance.

          5. Prohibited Items and Activities

          Sellers are strictly prohibited from listing or selling items that violate:

              • Applicable U.S. federal and state laws, including Michigan law;

              • Stripe’s prohibited businesses policy;

              • Koopo Online’s internal compliance rules.

            This includes, but is not limited to:

                • Illegal, counterfeit, or stolen goods;

                • Firearms, explosives, weapons, or related accessories prohibited by law;

                • Drugs, controlled substances, or related paraphernalia;

                • Adult or obscene content that violates applicable law;

                • Any other goods or services restricted under Michigan or U.S. e-commerce law.

              Koopo reserves the right to remove listings or suspend accounts at its sole discretion.

              6. User Content

                  • Users may post text, images, media, or product listings (“User Content”).

                  • By posting, you grant Koopo a non-exclusive, worldwide, royalty-free license to use, display, and distribute User Content solely for operating the Platform.

                  • You represent that your User Content does not infringe on the rights of others and complies with applicable law.

                 

                Content Disclaimer: Koopo Online is a social platform where users may post and share content. Koopo does not review all content before it is posted and is not responsible for the opinions, statements, or content shared by users. Use of the Platform is at your own risk, and you may be exposed to content that is offensive, inaccurate, or otherwise objectionable.

                7. No Warranties

                Koopo Online is provided on an “as-is” and “as-available” basis.

                    • We make no guarantees as to the quality, safety, legality, or accuracy of products or services offered by Sellers.

                    • We do not warrant that the Platform will be error-free, uninterrupted, or secure.

                    • Buyers and Sellers assume all risk associated with their transactions.

                  8. Limitation of Liability

                  To the fullest extent permitted by law:

                      • Koopo Online and A&A Management LLC are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform or transactions with Sellers.

                      • Our liability is limited to the amount of fees paid to Koopo in the 12 months preceding the claim.

                      • A&A Markets LLC, as the intellectual property owner and licensor, does not operate the Platform and bears no liability for your use of the Platform. All obligations, warranties, and liabilities under these Terms rest solely with A&A Management LLC.

                    9. Indemnification

                    You agree to indemnify, defend, and hold harmless Koopo Online, A&A Management LLC, and its officers, employees, and affiliates from any claims, losses, damages, liabilities, or expenses (including attorney’s fees) arising from:

                        • Your use of the Platform;

                        • Your breach of these Terms;

                        • Any transaction between you and another user.

                      10. Account Termination

                      Koopo may suspend or terminate accounts at its discretion for violations of these Terms or applicable law. Users may also close their accounts at any time by following the instructions in their account settings.

                      11. General Refund Policy

                      Koopo Online strives to provide a fair and consistent experience for both buyers and sellers. All purchases made through the marketplace are subject to this Refund Policy unless a seller provides their own refund policy that complies with the rules stated below.

                      Standard Refund Policy (Default)

                      • Return Window: Buyers may request a return within 14 days of delivery.

                      • Condition of Items: Items must be returned in the same condition as received, unused, and in original packaging (when applicable).

                      • Non-Refundable Items: Perishable goods, custom or personalized orders, digital downloads, and services are non-refundable unless defective or not delivered as described.

                      • Buyer Responsibility: Unless the item is defective or incorrect, the buyer is responsible for return shipping costs.

                      • Refund Process: Once the seller confirms receipt of the returned item, the buyer will receive a refund to their original payment method within 7 business days.

                      Seller-Specific Policies

                      • Sellers may publish their own refund/return policy on their storefront.

                      • Any seller policy must:

                        • Meet or exceed Koopo’s minimum standard (14-day returns).

                        • Clearly state exclusions or special conditions (if any).

                        • Be presented transparently to buyers before purchase.

                      • If no seller-specific refund policy is published, this default Koopo Refund Policy applies automatically.

                      Disputes & Resolution

                      • Buyers are encouraged to contact sellers directly to resolve refund or return issues.

                      • If a dispute cannot be resolved, Koopo may review the matter but is not a party to the transaction. Final responsibility for refunds rests with the seller.

                      Disclosure to Sellers

                      By listing products on Koopo Online, you acknowledge and agree that:

                      1. This Refund Policy serves as the default standard for all transactions.

                      2. You may post a modified refund policy, but it must comply with Koopo’s minimum standards.

                      3. Koopo Online provides the platform only and does not indemnify sellers for refunds, chargebacks, or disputes. Refund obligations are solely between the seller and the buyer.

                      12. Governing Law and Dispute Resolution

                          • These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

                          • By using the Platform, you agree to the jurisdiction of these courts.

                        13. Changes to Terms

                        Koopo reserves the right to update or modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance.
